📜 MaxSign Terms of Service

Version 1.1 · Effective September 13, 2026

The short version
  • MaxSign is signing software operated by Max AI, Inc. We are a software company — not a law firm — and nothing in the service is legal advice.
  • The person or organization that sent you a document is responsible for that document. Questions about what you are signing go to them.
  • Some kinds of documents may not be valid when signed electronically (wills, most family-law papers, court filings, and others listed in Section 5). Deciding whether a document is right for electronic signature is your responsibility, not ours.
  • The service is provided as is. Our liability is capped, and disputes are resolved by individual arbitration in Texas unless you opt out in writing within 30 days (Section 16).
  • Keep your own copy of anything you sign — every completed document is delivered to you with its Certificate of Completion.

1. Who we are, and your agreement to these Terms

MaxSign is an electronic-signature service operated by Max AI, Inc., a Texas corporation based in Austin, Texas ("Max AI," "we," "us," or "our"). These Terms of Service ("Terms") are a binding agreement between you and Max AI, Inc.

These Terms apply to everyone who uses MaxSign: organizations and individuals who prepare and send documents for signature ("Senders"), and people who receive, review, sign, or decline documents through a MaxSign signing link ("Signers"). "You" means both, unless a provision says otherwise.

By using MaxSign — including opening a signing link, reviewing a document, or signing — you agree to these Terms. If you do not agree, do not use the service. Declining to sign a document does not require agreeing to these Terms beyond the access needed to decline.

If a Sender has a separate written agreement with Max AI, Inc., that agreement controls for that Sender wherever it conflicts with these Terms.

3. Your relationship is with the Sender

Every document signed through MaxSign originates with a Sender. The Sender — not Max AI — is responsible for the content of the document, its lawfulness, its suitability for electronic signature, the decision to request your signature, and the relationship the document creates or evidences.

MaxSign processes, delivers, and records documents on the Sender’s instructions. If you have questions about the substance of a document, whether you should sign it, or what it means for you, direct them to the Sender.

4. Electronic signatures

Federal law (the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 et seq.) and state laws based on the Uniform Electronic Transactions Act — including Chapter 322 of the Texas Business & Commerce Code — generally give electronic signatures the same legal effect as handwritten signatures where the parties have agreed to transact electronically.

Before signing, every Signer is asked for affirmative consent to use electronic records and signatures. The full consent disclosure — including your right to a paper copy and your right to withdraw consent — is in the E-Sign Consent & Disclosure.

Whether an electronic signature satisfies the legal requirements that apply to a particular document depends on the document, the parties, and the law that governs it. That determination is solely your responsibility — for Senders, for each document you send; for Signers, for each document you sign. MaxSign does not review documents for legal sufficiency or suitability.

5. Documents that may not be suitable for electronic signature

Electronic-signature laws exclude or restrict certain categories of documents. An electronic signature may not be legally effective for the following, among others:

  • Wills, codicils, and testamentary trusts.
  • Family-law documents such as divorce decrees, adoption papers, and similar matters of family law.
  • Court orders, official court filings, and other documents required to be filed with a court — court e-filing runs through the court’s own e-filing rules and channels, not through MaxSign.
  • Documents that must be notarized, sworn before an officer, or witnessed, unless those requirements are separately satisfied outside MaxSign.
  • Certain documents governed by the Uniform Commercial Code, including many negotiable instruments and documents of title.
  • Notices of cancellation or termination of utility services.
  • Notices of default, acceleration, repossession, foreclosure, or eviction relating to a person’s primary residence.
  • Notices of cancellation or termination of health insurance, life insurance, or benefits (excluding annuities).
  • Product recall notices and notices of material failure of a product that risks endangering health or safety.
This list is illustrative, not exhaustive, and the law varies by state and changes over time. Determining whether electronic signature is appropriate for a specific document is the responsibility of the Sender and the Signer — not of Max AI, Inc.

6. Eligibility and authority

You must be at least 18 years old and have the legal capacity to enter into contracts to use MaxSign. If you use MaxSign on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Senders represent, for every document they send, that they have the right and authority to send it and to request the signatures it asks for.

8. Acceptable use

You agree that you will not use MaxSign to:

  • Send, sign, or process any document that is fraudulent, forged, deceptive, or unlawful, or that furthers any unlawful purpose.
  • Impersonate any person or organization, sign in anyone else’s name, or misrepresent your identity or authority.
  • Send documents you do not have the right or authority to send, or request signatures you do not have the right to request.
  • Circumvent, probe, or interfere with the service’s security or operation, or access it by any automated means not provided by us.
  • Upload malicious code or content that infringes the rights of others.
  • Present a document category listed in Section 5 as electronically binding while knowing that electronic signature is not legally effective for it.

We may suspend or refuse service for any use that we reasonably believe violates this section, without prior notice where the risk requires it.

9. Your documents, and the license you give us

You retain all ownership of the documents and content you send or sign through MaxSign. We claim no ownership of your documents.

So that the service can work, you grant Max AI, Inc. a limited, non-exclusive license to host, store, process, render, deliver, and retain your documents and signing data solely to provide the service, maintain the signing record, and comply with law. This license ends when the content is deleted from the service, except for records we retain as described in Section 10 and in the Privacy Notice.

10. The signing record

MaxSign creates evidence with every signature. When you sign, the service records your IP address, the date and time of each step, your device and browser information, a cryptographic fingerprint of the document (a SHA-256 hash, plus a per-page hash chain), and the moment you gave electronic-signature consent. This information appears on the Certificate of Completion attached to the completed document. It exists to protect everyone who relies on the signature.

Once a document is completed, the signed copy is immutable — it does not change. Corrections happen by voiding a document before completion or by superseding it with a new document, and the record reflects that history.

Completed documents and their certificates are retained as business records for the Sender. Signers receive a copy at completion. Download and keep your own copy — your copy plus its certificate is your authoritative record of what you signed.

11. Delivery by email

MaxSign delivers signing links, reminders, and completed copies by email. Delivery runs through a third-party provider (see the Privacy Notice).

Electronic delivery can fail for reasons outside our reasonable control — a full mailbox, a spam filter, a carrier block, a mistyped address, or a service outage. Do not rely on MaxSign as the only way to meet a legal deadline. If a document is deadline-critical, confirm delivery and completion directly with the other party.

12. Fees and payments

Signers pay Max AI, Inc. nothing to sign. Any fees for using MaxSign as a Sender are set by the agreement between the Sender and Max AI, Inc. Signing ceremonies on MaxSign do not include payment steps, and MaxSign never asks a Signer for card details.

13. Third-party services

The service depends on third-party providers — for example, email delivery. Those providers’ services are governed by their own terms, and we are not responsible for their acts or omissions. We choose providers that are standard for the industry and pass your data to them only as needed to provide the service.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DOCUMENT SIGNED THROUGH THE SERVICE WILL BE VALID, ENFORCEABLE, OR ADMISSIBLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) MAX AI, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) THE TOTAL AGGREGATE LIABILITY OF MAX AI, INC. FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO MAX AI, INC. FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NONE.

These limits apply regardless of the theory of liability (contract, tort, statute, or otherwise) and survive failure of essential purpose. They do not exclude liability that cannot be excluded by law.

16. Dispute resolution — arbitration, class waiver, and governing law

Please read this section carefully. It affects your legal rights.

16.1 Informal resolution first. Before filing any claim, you agree to give us written notice describing the dispute and 30 days to resolve it informally.

16.2 Binding individual arbitration. Except as provided in 16.3, any dispute arising out of or relating to MaxSign or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules (its Consumer Arbitration Rules where they apply). The Federal Arbitration Act governs this section. The seat of arbitration is Austin, Travis County, Texas; where the consumer rules apply, hearings may proceed by video or, where those rules require, near where you live.

16.3 Carve-outs. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorized access to the service.

16.4 Class-action and jury waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. TO THE EXTENT A CLAIM PROCEEDS IN COURT, BOTH PARTIES WAIVE TRIAL BY JURY.

16.5 Your right to opt out. You may opt out of arbitration and the class waiver by sending Max AI, Inc. written notice within 30 days of first accepting these Terms, stating your name, the document or account concerned, and your decision to opt out. Send the notice to the contact point in Section 22. Opting out does not affect any other part of these Terms.

16.6 Time limit. To the extent permitted by law, any claim must be brought within one year after it accrues, or it is permanently barred.

16.7 Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. For any matter not subject to arbitration, the state and federal courts sitting in Travis County, Texas have exclusive jurisdiction, and both parties consent to venue there.

17. Indemnification

You will indemnify, defend, and hold harmless Max AI, Inc. and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your documents and their content; (b) your use of the service in violation of these Terms or of law; (c) your lack of right or authority to send, sign, or request signature of any document; or (d) any dispute between you and another party to a document.

18. Suspension and termination

We may suspend or terminate access to the service — in whole, or for a specific document or account — where we reasonably believe these Terms have been violated, where fraud or unauthorized use is suspected (including the security holds and dispute freezes described in the E-Sign Consent & Disclosure), where required by law, or where continued operation would create risk to the service or its users. Where practical, we will give notice. Sections that by their nature survive termination (including 9, 10, 14–17, and 21) survive.

19. Intellectual property and feedback

The service — including its software, design, marks, and content we provide — belongs to Max AI, Inc. and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the service as these Terms allow. No other rights are granted.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

20. Changes to these Terms

We may update these Terms from time to time. The current version, its number, and its effective date are always stated on this page. For material changes, we will give reasonable advance notice — for example, on the site or by message to Senders. Continued use of the service after a change takes effect constitutes acceptance of the updated Terms. A document signed under a prior version remains governed by the version in effect when it was signed.

21. General

  • Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest remain in effect. If the class waiver in Section 16.4 is held unenforceable as to a claim, that claim proceeds in court, not in arbitration.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, outages of third-party infrastructure, war, terrorism, labor disputes, or acts of government.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
  • Entire agreement. These Terms, the Privacy Notice, and the E-Sign Consent & Disclosure are the entire agreement between you and Max AI, Inc. about the service, and supersede prior agreements about it (except a Sender’s separate written agreement, per Section 1).
  • No waiver. A failure to enforce a provision is not a waiver of it.
  • No third-party beneficiaries. These Terms create no rights in anyone other than you and Max AI, Inc.
  • Lawful use and export. You represent that your use of the service complies with applicable law, including U.S. export and sanctions law.
  • Headings are for convenience only.
